Terms of Service

1. Agreement

These Terms of Service (“Terms”) form a binding agreement between you and Quduratech co., a THAKA Holding company (“Quduratech”, “we”, “us”), governing access to AGENTOx websites, applications, and related services (the “Services”).

By accessing or using the Services, creating an account, or submitting an information request, you agree to these Terms and our Privacy Policy, Cookie Policy, and Acceptable Use Policy. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

2. The Services

AGENTOx is an enterprise AI workforce platform that helps organizations and individuals automate execution, manage tasks, prepare summaries, and operate specialized agents across departments, with human-in-the-loop controls where configured.

Features may vary by plan, deployment model (cloud, on-premises, or hybrid), and configuration. We may modify, add, or discontinue features with reasonable notice where practicable.

3. Accounts and access

You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your accounts. Organizations are responsible for their users’ compliance with these Terms.

We may suspend or terminate access for security reasons, non-payment (where fees apply), violation of these Terms or the Acceptable Use Policy, or legal requirements.

4. Customer content

You retain ownership of content you submit to the Services (“Customer Content”). You grant Quduratech a limited license to host, process, transmit, and display Customer Content solely to provide and secure the Services and as otherwise described in the Privacy Policy or your order form.

You represent that you have all rights necessary to submit Customer Content and to authorize processing, including any personal data of third parties.

5. AI outputs

AGENTOx may generate suggestions, summaries, drafts, or actions using AI models. Outputs may be inaccurate or incomplete. You are responsible for reviewing outputs before relying on them for decisions, communications, or automated actions, except where your configuration expressly permits automated execution under your policies.

Human-in-the-loop and approval workflows, where enabled, are part of safe operation; bypassing or disabling required controls in violation of policy is prohibited.

6. Fees

Paid plans, professional services, and deployment options are subject to the commercial terms in your order form or agreement. Unless otherwise stated, fees are non-refundable except as required by law. We may change list prices for renewals with notice as stated in your agreement.

7. Intellectual property

Quduratech and its licensors own AGENTOx, including software, models configurations we provide, branding, and documentation. These Terms do not transfer ownership of our intellectual property. Feedback you provide may be used by us without obligation to you.

8. Acceptable use

You must comply with our Acceptable Use Policy at https://agentox.app/acceptable-use. Violations may result in suspension or termination without refund where permitted by your agreement and applicable law.

9. Confidentiality

Each party may receive confidential information from the other. The receiving party will use reasonable care to protect such information and use it only for purposes of the Services relationship, except where information is public, independently developed, or required to be disclosed by law.

10. Warranties and disclaimers

We provide the Services with reasonable skill and care. Except as expressly stated in a signed agreement, the Services are provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that AI outputs will meet your requirements.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

Except for liability that cannot be limited by law (such as fraud), each party’s aggregate liability arising out of or related to the Services is limited to the fees paid or payable by you to Quduratech for the Services in the twelve (12) months before the event giving rise to liability (or SAR 1,000 if no fees were paid).

12. Indemnity

You will defend and indemnify Quduratech against claims arising from Customer Content, your misuse of the Services, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.

13. Governing law and disputes

These Terms are governed by the laws of the Kingdom of Saudi Arabia, without regard to conflict-of-law rules. Courts in Riyadh, Kingdom of Saudi Arabia have exclusive jurisdiction, unless mandatory consumer protections require otherwise.

14. Changes

We may update these Terms by posting a revised version on this page and updating the “Last updated” date. Continued use after the effective date constitutes acceptance, except where a signed agreement states otherwise.
